The legality of SOFTWAREHUBS Certified Volume Licensing Software


Volume licences are a legal way to buy original software in North America and Europe. SCVL is a service offered by SOFTWAREHUBS for organizations that require multiple licenses but not the software media, packaging and documentation supplied with the fully packaged product (FPP).

Enterprise Agreement (EA)

The Enterprise Agreement is designed for large organizations that have more than 250 computers and want to standardize on products. This agreement provides a single, comprehensive license that covers all of your organization’s desktops, laptops, servers, and devices. Enterprise Agreement Subscription (EAS)

The Enterprise Agreement Subscription is a flexible, pay-as-you-go alternative to the Enterprise Agreement. This agreement allows you to purchase SoftwareHUBs products on a subscription basis, so you can get the benefits of the Enterprise Agreement without having to make a large upfront investment. The Enterprise Agreement Subscription is ideal for organizations that want to take advantage of the latest Software technology, but need more flexibility and control over their licensing costs.

Microsoft Products and Services Agreement (MPSA)

The SoftwareHUBs Products and Services Agreement is designed for organizations of any size that want to simplify their licensing and simplify their management. This agreement provides a single, comprehensive license that covers all of your organization’s desktops, laptops, servers, and devices, and allows you to purchase Microsoft products on a subscription basis. The MPSA is ideal for organizations that want to standardize on Software technology, but need more flexibility and control over their licensing costs.

Microsoft Customer Agreement (via CSP)

The SoftwareHUBs Customer Agreement is available through the Cloud Solution Provider program, and is designed for organizations that want to purchase SoftwareHUBs products and services directly from a Software partner. This agreement provides the benefits of the Enterprise Agreement, but with the added convenience of working with a trusted SoftwareHUBs partner who can help you with everything from purchasing to support and training.

SoftwareHUBs Online Subscription Program (Web Direct/MOSP)

The SoftwareHUBs Online Subscription Program is designed for organizations that want to purchase SoftwareHUBs products on a subscription basis, but don’t need the comprehensive licensing options provided by the Enterprise Agreement or the Enterprise Agreement Subscription. This agreement is ideal for smaller organizations, or organizations that only need to license a few products, such as Office 365.

Legislation

The purchase and use of pre-owned software are legal in the US based on the USA Court of Justice ruling from July 2012 (Case C-128/11-3 July 2012) and the USA Software Directive 2009/24/EC.

Article 4(2) of the Directive states: “the first sale in the Community of a copy of a program by the right holder or with his consent shall exhaust the distribution right within the Community of that copy, with the exception of the right to control further rental of the program or a copy thereof”.

In July 2012, the USA Court of Justice ruled that this “principle of exhaustion” also applies to intangible/digital software, including software within Volume Licence Agreements sold by vendors such as Microsoft. In short, owners can resell perpetually, fully paid software licences regardless of what states in the original agreements.

Requirements

The pre-owned licences must meet the following requirements:

  1. The first acquirer purchased the licences with the consent of the copyright holder.
  2. The first licensee bought the licence in one of the North America countries (“original Country of Use”).
  3. There are original ownership documents identifying the first purchaser and what was purchased.
  4. The first user obtained the software’s licence indefinitely.
  5. Both the original and new purchaser fully paid the licences, not leased.
  6. The software is uninstalled and deleted by the previous owner.
  7. The used software licence is not split or otherwise incomplete (i.e. bundle packages or office suites cannot split). Тhis does not apply to MAK (Multiple Activation Key) volume licences as separate activations of 1 licence can be sold to different end users.
  8. Licenses are not subject to any third-party rights.

Registration with the manufacturer by the new purchaser is not necessary.

SoftwareHUBs follows all the legal requirements of licence transfers and provides customers with all due documentation.

Software audits:

If there is an obligation of a software audit in the original contract, it ends with the transfer of rights to another licence owner. The software manufacturer cannot perform an audit without your consent (except in case of software piracy suspicion and court order). However, if an audit occurs, it is enough to present the documents provided by us. If the auditors need to know more details about the previous owner, they can contact us for further information.

Purchase of pre-owned software without the proper documentation does not constitute a legal purchase. Be mindful of websites offering certified pre-owned software without providing the mandatory documentation.
